Terms of Service

The Gist (Plain English)

MarketCheck provides access to automotive data via API. You’re welcome to use it to build applications and workflows.

However, you may not:

• Use the Service to build or improve a competing dataset or service
• Extract or recreate large portions of our data
• Train AI models or datasets using our data
• Use our data to identify targets for scraping or data acquisition

If you do, we may suspend, restrict, or terminate your access at any time.

1. Your Agreement with MarketCheck Cars Inc

Your use of the MarketCheck Cars API service (the “Service”) is governed by these Terms of Service (the “Terms”). “MarketCheck,” “we,” or “us” means MarketCheck Cars Inc.

By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

We may modify or update these Terms from time to time. When we do, we will update the “Last Updated” date and may provide additional notice (such as via email or through the Service) for material changes.

Because the Service is provided on a month-to-month basis, you are responsible for reviewing the Terms periodically to ensure you understand the current terms and conditions.

Your continued access to or use of the Service after any updates constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

2. Your Account

• You must provide accurate and complete registration information
• You are responsible for all activity under your account
• You may not create multiple accounts to bypass limits
• You must safeguard your API keys and credentials
• We may suspend, restrict, or terminate accounts at our discretion

3. Permitted Use

You may use the Service to build applications, tools, and workflows that access MarketCheck data in real time, including applications powered by artificial intelligence or natural language interfaces.

Use of the Service must be tied to a live query or user-driven interaction. You may display and use results within your application or internal workflows, provided such use does not violate these Terms.

All use must comply with applicable laws and regulations.

4. Use of the Service

You agree to use the Service responsibly and not engage in any activity that interferes with or disrupts the Service.

You agree that the Service provides access to data as a query-based service. MarketCheck data is licensed, not sold, and may not be used to create independent or persistent datasets outside of the Service.

MarketCheck reserves the right to enforce quotas, rate limits, and usage controls at its sole discretion, with or without notice.

5. License and Restrictions

MarketCheck Cars Inc grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for querying and using MarketCheck data within your applications or internal workflows in accordance with these Terms.

You may not (and may not permit anyone else to):

(a) Dataset Creation & Extraction

• Cache, store, index, or otherwise persist substantial portions of data obtained through the Service outside of normal application use
• Systematically extract, harvest, or download data to create a standalone database
• Reconstruct or attempt to reconstruct MarketCheck’s inventory, dealer network, or datasets

(b) Competitive Use

• Build, enhance, or operate any product or service that competes with MarketCheck’s data products or services
• Use the Service to replicate or approximate MarketCheck’s offerings

(c) AI / Model Training Restrictions

• Use MarketCheck data to train, fine-tune, or improve any generalized machine learning or artificial intelligence models
• Create synthetic datasets, embeddings, or derivative training corpora based on MarketCheck data

(For clarity: You may use MarketCheck data within applications that utilize AI models, provided the data is accessed in real time and not used to train or persist independent datasets.)

(d) Scraping & Targeting

• Use the Service to identify targets for scraping, data acquisition, or competitive intelligence
• Use dealer, listing, or inventory data to build or enhance independent data collection pipelines

(e) Abuse & Circumvention

• Attempt to bypass rate limits, quotas, or access controls
• Use multiple accounts, proxies, or automation to evade restrictions
• Interfere with or disrupt the Service

6. Enterprise Use & Access Levels

Certain uses of the Service, including but not limited to high-volume access, bulk data retrieval, production deployment at scale, or integration into commercial products, may require a separate written enterprise agreement with MarketCheck Cars Inc.

MarketCheck reserves the right to determine, at its sole discretion, whether a given use case exceeds standard API usage and requires an enterprise agreement.

7. Fees and Billing

• Some usage may be free within defined limits
• Paid usage is billed monthly
• Payments are non-refundable
• Pricing may change with at least 30 days notice
• You are responsible for all applicable taxes and fees

8. Suspension and Termination

(a) Suspicious or Excessive Usage Review

MarketCheck Cars Inc reserves the right to monitor usage of the Service for patterns that may indicate prohibited activity, including but not limited to excessive data extraction, systematic querying, or attempts to reconstruct datasets, dealer networks, or inventory coverage.

If MarketCheck determines, in its sole discretion, that usage patterns are unusual, excessive, or potentially inconsistent with permitted use, MarketCheck may:

• temporarily suspend or restrict access to specific endpoints or the Service as a whole;
• request additional information regarding your use case, application, and data handling practices;
• require written confirmation that your use complies with these Terms.

During such review, you agree to promptly respond to reasonable inquiries from MarketCheck regarding your use of the Service.

Failure to respond within a reasonable time may result in continued suspension or termination of access.

MarketCheck may restore, continue to restrict, or permanently terminate access based on the outcome of this review.

(b) General Suspension and Termination

MarketCheck Cars Inc may suspend, restrict, or terminate your access, with or without notice, if it determines, in its sole discretion, that your use of the Service:

• violates these Terms
• poses a competitive risk to MarketCheck
• involves data extraction, dataset creation, or other prohibited activities

Upon termination, your right to use the Service ends immediately, and you must cease all use of MarketCheck data.

9. Ownership

The Service and all data provided by MarketCheck remain the exclusive property of MarketCheck Cars Inc.

These Terms do not grant you ownership of any MarketCheck data or intellectual property.

10. Changes to the Service

MarketCheck may modify, suspend, or discontinue the Service at any time without liability.

MarketCheck may also modify pricing, usage limits, access conditions, or available features at any time, with or without notice.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind.

MarketCheck does not guarantee that the Service will be uninterrupted, error-free, or meet your requirements.

12. Limitation of Liability

To the fullest extent permitted by law, MarketCheck Cars Inc shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service.

13. Indemnification

You agree to indemnify and hold harmless MarketCheck Cars Inc and its affiliates from any claims arising out of your use of the Service or violation of these Terms.

14. General

These Terms constitute the entire agreement between you and MarketCheck Cars Inc.

Failure to enforce any right does not constitute a waiver.

These Terms are governed by the laws of New York, United States.
